Introduction

Welcome to Relax (the “App” or the “Service”).

These Terms of Service (the “Terms”) form a legally binding agreement between you and [Legal Entity Name] (“we,” “us,” or “Operator”) governing your download, installation, registration, access, and use of the Relax mobile application and related services.

Please read these Terms carefully before using the Service, especially provisions regarding disclaimers, limitation of liability, subscriptions and auto-renewal, health-related statements, and dispute resolution. If you are a minor, please review these Terms with a parent or legal guardian and use the Service only with their consent.

By tapping “Agree,” checking an acceptance box, or by downloading, installing, registering for, signing in to, or otherwise using the Service, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms and our Privacy Policy together constitute the full agreement regarding your use of the Service. Matters relating to personal data are governed by the Privacy Policy.

1. Definitions

“User” or “you” means any natural person who downloads, installs, registers for, signs in to, or uses the Service.
“Account” means credentials you create (for example, email and password) to access the Service. You may also use certain features without registering, based on a device identifier.
“Free Content / Free Features” means limited audio content and basic features available without a paid subscription.
“Premium” means paid subscription access that unlocks premium content and advanced features via Apple App Store, Google Play, or other authorized storefronts.
“AI Features” means features that rely on artificial intelligence, including AI Flow scene generation, AI voice guidance, and the 7-day Journey plan.
“User Content” means text, preferences, settings, and other materials you submit while using the Service.

2. The Service

2.1 Description

Relax is an AI-assisted brainwave soundscape and immersive listening application designed to support sleep, focus, relaxation, meditation, and wellness-oriented listening experiences. The Service may include, without limitation:

Premium subscription	Access to paid content and advanced features

We may add, modify, or discontinue features and will provide notice through the App, website, or other reasonable means where appropriate.

2.2 Nature of the Service and Health Disclaimer (Important)

Audio content, brainwave entrainment frequencies, AI-generated soundscapes, voice guidance, and related copy are provided for general relaxation, focus, and lifestyle support only. They do not constitute a medical device, medical advice, diagnosis, treatment, or rehabilitation program.

You understand and agree that:

The Service is not a substitute for professional medical diagnosis, treatment, or counseling;
If you have epilepsy, hearing impairment, severe sleep disorders, psychiatric or neurological conditions, or are under related treatment, consult a qualified professional before use;
When using headphones, control volume and duration to protect your hearing; do not use content that may impair attention while driving, operating machinery, or in situations requiring alertness;
We are not responsible for health-related decisions you make in reliance on the Service.

2.3 Availability

The Service is provided as a mobile application primarily for iOS and Android. Some features require network connectivity. Network issues, device performance, or OS limitations may affect availability or quality.

3. Accounts

3.1 Registration

You may use parts of the Service without creating an Account. In that case, we may rely on a device identifier and local preferences.
You may register with an email address and password to sign in, enable cloud sync (such as favorites and subscription linkage), and manage your Account.
You agree to provide accurate information and keep it updated.

3.2 Account Security

You are responsible for safeguarding your credentials and for all activity under your Account. Notify us promptly if you suspect unauthorized use.

3.3 Account Rules

You must not:

Sell, transfer, or share your Account;
Register using another person’s identity or false information;
Create accounts or access the Service through automated or abusive means.

3.4 Account Deletion

You may delete your Account in Settings within the App, or by contacting us. After deletion, we will handle your personal data as described in the Privacy Policy. Cloud data and Account-linked benefits will no longer be available, except as required by law. Handling of unused subscription time is governed by the applicable app store rules and Section 4.

4. Free Access and Premium Subscriptions

4.1 Free Access

Non-subscribers receive limited free content and basic features (for example, selected soundscapes, basic presets, and limited favorites/saved mixes). The free catalog may change over time.

4.2 Premium Benefits

Premium typically includes (subject to in-app presentation and the purchase screen):

Access to paid audio content and scenes;
AI Flow generation and AI voice guidance;
Journey plan generation, playback, and progress tracking;
Advanced mixing (for example, more layers), geek mode, and extended statistics;
Higher or unlimited favorites and saved mixes;
Other Premium features we may offer from time to time.

4.3 Plans and Billing

Plans may include weekly and annual subscriptions. Price, currency, billing period, and promotions are shown on the store purchase screen at the time of purchase.
Annual plans may include an introductory offer managed by the app store (for example, a free trial period before billing begins). Such offers apply only after you complete the annual subscription purchase flow. Closing the paywall or using the free tier does not start a trial.
Payments are processed by Apple App Store or Google Play. Payment, invoices, refunds, and taxes are governed by the applicable store policies, except as otherwise stated in these Terms.

4.4 Auto-Renewal

Subscriptions automatically renew unless you cancel before the end of the current billing period.
Manage or cancel auto-renewal in your store account settings:
- iOS: Settings → Apple ID → Subscriptions;
- Android: Google Play → Payments & subscriptions → Subscriptions.
After cancellation, access continues until the end of the paid period; it will not renew thereafter.

4.5 Restore Purchases

If you change devices or reinstall the App, use Restore Purchases to restore an active subscription associated with the same store account.

4.6 Refunds

Refund requests must be submitted through the app store used for purchase and are subject to that store’s refund policy. We cannot process store refunds directly but may help you verify subscription status.

4.7 Changes to Pricing or Benefits

We may change prices, plan structures, or Premium benefits. Changes generally do not affect an already-paid period; renewal pricing is as shown at renewal. We will provide reasonable notice of material benefit changes where practicable.

5. AI Features

5.1 Description

AI Features may use your text prompts, mood/mode selections, questionnaire answers, and preferences to compose personalized soundscapes from our licensed audio library and, where applicable, generate voice guidance.

5.2 Restrictions

AI Features are typically available to Premium users only, as shown in the App.
You must not use AI Features to generate or distribute unlawful, infringing, harassing, hateful, pornographic, violent, or otherwise harmful content.
Do not submit others’ sensitive personal data or unlawful content in prompts or questionnaires.

5.3 Outputs

AI outputs may be variable. We do not guarantee that results will meet your expectations, remain available, or be fit for a particular purpose.
AI outputs are not professional advice (including medical, psychological, or legal advice).
We may adjust availability, quotas, models, and generation logic as permitted by law.

5.4 Intellectual Property

Underlying audio assets, software, interfaces, and composition logic remain owned by us or our licensors. Except for a personal, non-commercial, non-transferable right to use outputs within the Service, you may not copy, resell, publicly distribute, or commercially exploit outputs or assets.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose;
Infringe others’ rights, including privacy and intellectual property rights;
Attempt unauthorized access to systems, networks, or data;
Interfere with or disrupt the Service;
Scrape, bulk-download, or circumvent technical protections on audio content;
Bypass or attempt to bypass paywalls, access controls, subscription validation, or other technical restrictions;
Reverse engineer the App except where permitted by law;
Engage in fraud or other abusive activity.

We may warn you, limit features, suspend or terminate access, delete your Account, and pursue legal remedies for violations.

7. Intellectual Property

The App, software, design, text, icons, audio, animations, trademarks, presets, and documentation are owned by us or our licensors and protected by applicable law.
We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
You may not copy, modify, distribute, rent, sell, or reverse engineer the Service or use audio content for public performance, broadcast, redistribution, or commercial purposes without written permission.
You retain rights in User Content you submit, and grant us a license to store, process, transmit, and analyze it as needed to provide, maintain, and improve the Service. This license continues as needed to complete deletion and meet legal obligations after you remove content or delete your Account.

8. Third-Party Services

The Service may rely on third parties, including:

App store payments: Apple App Store, Google Play;
Cloud storage and CDN: for audio hosting and delivery;
AI providers: for intent understanding, text processing, and speech synthesis;
OS services: media notifications, photo library access, and similar capabilities.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party outages or disputes beyond what applicable law requires, though we may provide reasonable assistance.

9. Disclaimers

To the maximum extent permitted by law:

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of uninterrupted, error-free, or fully secure operation, or fitness for a particular purpose.
We are not liable for interruptions or losses caused by force majeure, network or power failures, attacks, malware, third-party failures, your device or OS, or your misuse.
Health-related disclaimers are set out in Section 2.2.
We are not responsible for disputes between users or between users and third parties arising from use of the Service.

10. Limitation of Liability

To the maximum extent permitted by law:

Our total liability arising out of or relating to the Service shall not exceed the amounts you paid to us or through the app stores for the Service in the twelve (12) months before the claim arose; if you paid nothing, liability is limited to USD 15 or the local equivalent (except where mandatory law provides otherwise).
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or goodwill, even if advised of the possibility.
Some jurisdictions do not allow certain limitations; in that case, our liability is limited to the fullest extent permitted by law.

11. Changes, Suspension, and Termination

We may modify, suspend, or discontinue features and will provide notice where reasonably practicable.
You may stop using the Service at any time and may delete your Account.
We may suspend or terminate access for material breaches of these Terms, without refund except where required by law.
After termination, we may delete or anonymize your data as described in the Privacy Policy, except where retention is legally required.

12. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted in the App, on our website, or through other appropriate channels, with an effective date. Material changes affecting your rights will be highlighted more prominently.

Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service and delete your Account.

13. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of China (excluding conflict-of-law rules), except where mandatory consumer protection laws in your place of residence require otherwise.
Parties shall first attempt to resolve disputes amicably. If unresolved, either party may bring proceedings in a court of competent jurisdiction at the Operator’s domicile.
If you obtained the App from the Apple App Store, you may also have rights under mandatory laws of your place of residence; these Terms do not waive those rights.

14. General

Severability. If any provision is unenforceable, the remaining provisions remain in effect.
Entire Agreement. These Terms, the Privacy Policy, and any supplemental rules form the entire agreement.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or reorganization, subject to applicable law.
Headings. Headings are for convenience only.
